d.o.o., j.d.o.o. or obrt: choosing a Croatian business form

How Croatia’s d.o.o., simplified j.d.o.o. and obrt differ and what a foreign founder should resolve before registration.

Choosing a legal form is not simply a matter of finding the lowest starting capital. It affects personal liability, accounting, how money is withdrawn, future investment and the process of closing the business. A foreign founder must also consider whether they will physically work in Croatia, where they will be tax-resident and whether they can access the digital services used for online formation.

d.o.o.: the standard limited-liability company

A d.o.o. is a common choice for a business expected to grow, enter higher-value contracts or separate company assets from the founder’s personal property. Croatia’s official START system states that the minimum share capital is EUR 2,500. The company has its own legal personality and uses double-entry accounting.

Limited liability does not mean that a director can never be personally responsible. Management must act properly, respond to insolvency on time and comply with tax, employment and accounting obligations. Before formation, calculate not only the capital but also ongoing accounting, banking, director remuneration and social contributions.

j.d.o.o.: a lower entry point with restrictions

A j.d.o.o. is a simplified limited-liability company. The current START user guide allows capital from EUR 1 to EUR 2,499. A low statutory amount does not mean the business has enough working capital. This form has restrictions and must build statutory reserves until it meets the conditions for a standard d.o.o.

It may suit a straightforward project with few founders, but compare the cost of later changes, financing and administration with forming a d.o.o. from the outset.

Obrt: business activity of an individual

An obrt is operated by an individual. Formation and daily administration may be simpler for certain activities, but the owner generally answers for obligations with personal assets. Some activities are freely accessible, while others require professional qualifications, a licence or other conditions.

Tax treatment depends on revenue, activity and the conditions met. A flat-rate regime may be attractive, but thresholds and rules change. Confirm current figures with a Croatian accountant before registering or signing a major contract.

Can START handle the process online?

START connects entry in the court or craft register with other steps such as paying capital and fees, optional VAT registration, pension-system registration, opening a bank account and registering the beneficial owner. Availability depends on the founder type and accepted credentials.

A foreign founder does not automatically have the same digital options as a domestic user. Before planning a fully online process, confirm eligibility, electronic identification and bank requirements. A personal procedure, notary or authorised representative may be more practical.

Questions that matter more than formation price

  • Will you operate alone or with other members?
  • What contractual and operational risks does the activity create?
  • Will you need staff, an investor or credit?
  • How much working capital is needed for the first six months?
  • Will you work in Croatia, and where will you be insured?
  • Where will effective management and tax residence arise?
  • Is the activity regulated or qualification-dependent?
  • How will money legally be paid out of the business?
  • How difficult would a future sale or closure be?

A practical decision process

First describe the business model, customers, expected revenue, costs and people who will work in it. Then obtain a side-by-side calculation for d.o.o., j.d.o.o. and obrt. An accountant should assess tax and contributions, a lawyer should review contracts, liability and regulation, and a bank should confirm account availability and foreign-person identification.

Only after this comparison should you reserve a name and prepare formation documents. The cheapest registration is not necessarily the least expensive structure after the first year.
